Terms of Service

Please read these Terms carefully before using Socliz. By creating an account or using the platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use Socliz.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Socliz ("Company", "we", "us") governing your access to and use of the Socliz platform, website, and all related services (collectively, the "Service").
By registering for an account, connecting an Instagram account, or using any part of the Service, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy.
2. Description of Service
Socliz is a third-party Instagram management and AI-powered analytics platform that enables users to:
- Manage Instagram comments, DMs, and automated replies.
- View insights and analytics for their connected Instagram Business or Creator account.
- Schedule and publish posts to Instagram via the Meta Content Publishing API.
- Use AI-powered tools including content ideas, lead scoring, buyer prediction, FAQ generation, and more.
Socliz provides these features by integrating with the Meta Instagram Graph API. Socliz is an independent third-party platform and is not affiliated with, endorsed by, operated by, or a representative of Meta Platforms, Inc.
3. Eligibility
- You must be at least 18 years of age to use Socliz.
- You must have a valid Facebook account and an Instagram Business Account or Instagram Creator Account connected to a Facebook Page.
- You must have the authority to connect the Instagram account to Socliz (i.e. you are the account owner or are authorised by the account owner).
- Use of Socliz is subject to you complying with Instagram's and Meta's Terms of Use, Community Guidelines, and Platform Policies.
4. Account Registration
- You must provide accurate and complete information when registering.
- You are responsible for maintaining the confidentiality of your Socliz login credentials.
- You are responsible for all activity that occurs under your account.
- You must notify us immediately at support@socliz.com if you suspect unauthorised access to your account.
- You may not transfer your account to any other person without our written consent.
5. Instagram / Meta Integration
5.1 API Use and Compliance
Socliz accesses Instagram data exclusively through the official Meta Instagram Graph API. By connecting your Instagram account to Socliz, you acknowledge and agree that:
- Socliz will act as an authorised API client on your behalf, using the access token generated by Facebook Login.
- All actions performed through Socliz (replying to comments, sending messages, publishing posts) are performed by Socliz on your behalf using your authorisation.
- You are responsible for ensuring that your use of Socliz complies with Meta's Terms of Service, Instagram's Terms of Use, Meta Platform Terms, and Meta's Community Standards and Platform Policies.
5.2 Your Responsibility for Instagram Account Activity
You are solely responsible for all content posted, comments replied to, messages sent, and any other actions taken through Socliz on your Instagram account. Socliz facilitates these actions at your direction; the account activity is attributed to you.
5.3 Revoking Instagram Access
You may disconnect your Instagram account from Socliz at any time via:
- Socliz Settings → Connected Accounts → Disconnect
- Facebook Settings → Apps and Websites → Socliz → Remove
Disconnection revokes Socliz's access to your Instagram data going forward. See our Privacy Policy for data retention and deletion details.
6. Acceptable Use
You agree to use Socliz only for lawful purposes and in a manner consistent with these Terms, Meta's Platform Policies, and all applicable laws. Acceptable uses include:
- Managing and moderating comments and messages on your own Instagram business account.
- Scheduling and publishing original content you own or have the rights to.
- Using AI features to analyse and improve your own Instagram strategy.
- Managing Instagram accounts for which you have explicit written authorisation from the account owner.
7. Prohibited Activities
Violation of these prohibitions may result in immediate account termination and reporting to Meta.
You must not use Socliz to:
- Violate any Meta Platform Policy, Instagram Community Guidelines, or Instagram Terms of Use.
- Send unsolicited commercial messages (spam) to Instagram users.
- Automate mass following, unfollowing, liking, or commenting in violation of Instagram's rate limits and policies.
- Scrape, harvest, or collect data from Instagram accounts without authorisation.
- Access Instagram accounts you do not own or have explicit written authorisation to manage.
- Attempt to circumvent Instagram's or Meta's security measures or rate limits.
- Post content that is illegal, defamatory, harassing, hateful, sexually explicit, or otherwise violates applicable law or platform policies.
- Impersonate any person, brand, or entity.
- Use Socliz features in a way that would mislead or deceive Instagram users.
- Reverse-engineer, decompile, or attempt to extract Socliz's source code.
- Resell, sublicense, or transfer access to Socliz without our written consent.
- Interfere with or disrupt the integrity or performance of the Socliz platform or the Meta API.
8. AI Features
- AI-generated content, recommendations, lead scores, and other outputs provided by Socliz AI features are for informational and assistance purposes only.
- You are solely responsible for reviewing and approving any AI-generated content before publishing or acting on it.
- Socliz does not guarantee the accuracy, completeness, or suitability of AI-generated outputs.
- You must ensure that any AI-generated content you publish complies with Instagram's Community Guidelines and all applicable laws.
- AI features process your Instagram data as described in our Privacy Policy. By using AI features, you consent to this processing.
9. Subscriptions and Payments
- Socliz may offer free and paid subscription plans. The features available under each plan are described on our pricing page.
- Paid subscriptions are billed in advance on a monthly or annual basis as selected at signup.
- All fees are non-refundable except as required by applicable law or as stated in our refund policy.
- We reserve the right to change pricing with 30 days' notice to active subscribers.
- Failure to pay may result in suspension or termination of your account.
10. Intellectual Property
- Socliz and its original content, features, and functionality are and will remain the exclusive property of Socliz and its licensors.
- "Instagram", the Instagram logo, "Facebook", and the Facebook logo are trademarks of Meta Platforms, Inc. Socliz claims no rights in these marks.
- You retain all rights to the content you publish through Socliz.
- By using Socliz, you grant us a limited, non-exclusive licence to access and process your Instagram data solely to provide the Service to you.
11. User Content
You are solely responsible for any content you create, publish, schedule, or send through Socliz, including posts, captions, replies, and messages. You represent and warrant that:
- You own or have the necessary rights and permissions to the content.
- Your content does not infringe any third-party intellectual property, privacy, or other rights.
- Your content complies with Instagram's Community Guidelines and all applicable laws.
12. Disclaimers and Limitation of Liability
12.1 Service Disclaimer
Socliz is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that data from the Meta API will always be available or accurate. The Meta Instagram Graph API is operated by Meta, and Socliz is dependent on API availability and policies which are outside our control.
12.2 Instagram Account Risk
Use of third-party tools on Instagram is subject to Meta's policies. While Socliz operates using the official Meta API and complies with Meta Platform Terms, Socliz makes no guarantee that using our platform will not result in restrictions on your Instagram account. You use Socliz at your own risk with respect to your Instagram account status.
12.3 Limitation of Liability
To the maximum extent permitted by applicable law, Socliz shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.
Our total liability for any claim arising from these Terms or your use of Socliz shall not exceed the amount you paid to Socliz in the 3 months preceding the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless Socliz and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of Meta's or Instagram's Terms, Policies, or Guidelines; (d) your User Content; or (e) your violation of any third-party rights.
14. Termination
- You may terminate your account at any time from the Settings page. Upon termination, your data will be handled as described in our Privacy Policy.
- We may suspend or terminate your account immediately, without prior notice, if you breach these Terms, violate Meta Platform Policies, or engage in activity we determine to be harmful to other users or the platform.
- We may terminate or suspend access to the Service for any user at our discretion, with reasonable notice where practicable.
- Upon termination, all licences granted to you under these Terms will immediately cease.
15. Governing Law and Disputes
These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of [Your City], India.

16. Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or via a prominent notice on the platform at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using Socliz and may delete your account.
